In line — diluted EPS -$0.10 vs ~$0.10 consensus
SITE Centers earnings matched the EPS consensus, but operating FFO turned negative as asset sales continued shrinking the business ahead of its planned wind-down.
SITE Centers is no longer a growth REIT; after the Curbline spin-off, it is liquidating its remaining shopping centers, monetizing its joint-venture interest and preparing to wind down. Its prior filings already described the strategy as selling remaining wholly owned properties and resolving the DTP investment.
The quarter landed exactly on the headline earnings bar, but that is not the important signal. Diluted EPS was -$0.10 versus an approximately -$0.10 published consensus, so the report is technically in line rather than a beat. Revenue was $4.6 million versus roughly $5.7 million expected, however, and the gap reflects the shrinking asset base rather than a temporary operating surprise. The filing says third-quarter net loss was $5.4 million, compared with $6.2 million a year earlier.
| 3Q26 | 3Q25 | Consensus | |
|---|---|---|---|
| Rental income (Income Statement) | $4,471 | $24,203 | |
| Net operating income (Income Statement) | $2,238 | $15,128 | |
| Operating FFO (FFO reconciliation) | $(3,127) | $5,643 | |
| Operating FFO per diluted share (FFO reconciliation) | $(0.06) | $0.11 | |
| Diluted EPS (Income Statement) | -$0.10 | -$0.13 | -$0.10 |
| Cash (Balance Sheet) | $200,207 | $119,034 |
Core operations are deteriorating as dispositions do exactly what management said they would. Rental income fell about 82% year over year, NOI fell about 85%, and operating FFO moved from positive $0.11 per share to a $0.06 loss per share. The company has no interest expense after paying down debt, but the remaining operating base is now too small to cover corporate costs and wind-down overhead.
The filing shows continued execution on the liquidation plan, not a business recovery. SITE Centers reported $223.8 million of year-to-date gross sales, including The Maxwell and the Dividend Trust Portfolio interest in October. Cash increased to $200.2 million from $119.0 million at year-end, supporting further distributions and the wind-down. But the proceeds come with a shrinking income-producing portfolio: only The Blocks and the Beachwood headquarters remain as named assets, with The Blocks already under contract for sale.
The most consequential strategic news was already public before this filing. The $3.00 special distribution announced October 15 and the planned NYSE delisting before December 4 were confirmations, not fresh surprises. They reinforce that shareholders are being returned remaining capital rather than the company rebuilding recurring earnings. 〔0〕
Bottom line: SITE Centers met the narrow EPS expectation, but the underlying business continued to contract sharply as assets were sold. This report modestly weakens the operating story while confirming that the company is progressing toward liquidation rather than returning to normal REIT operations.
NYSE delisting before December 4, 2026
