CEO compensation reset — $700,000 salary plus $475,000 one-time cash award; 4% of operating income in cash
Daily Journal’s executive compensation filing keeps its CEO in place, raises fixed pay, and adds profit-linked incentives with a sizable upfront cash award.
Daily Journal is trying to turn Journal Technologies into the company’s main growth engine while still carrying its legacy publishing business; recent results showed Journal Technologies driving double-digit revenue growth, and management has been strengthening the finance and operating infrastructure around it. The filing secures continuity, not a new strategy. Steven Myhill-Jones remains chairman and CEO, and the company formalizes his employment with a $700,000 annual salary effective October 1, 2025, plus a $475,000 one-time cash award. That removes leadership uncertainty, but the retention benefit was largely known because he has already served as CEO since March 2022. The new structure is more performance-linked, but also more expensive upfront. For fiscal 2026 and 2027, the CEO can earn cash equal to 4% of operating income, capped at twice salary, and equity equal to 1% of operating income, capped at 400 shares. 〔0〕 The alignment is clearer than a purely fixed-pay arrangement, especially while Journal Technologies is growing, but shareholders are also accepting a higher fixed salary and a large immediate cash payment before the filing demonstrates what the new package will produce. The CFO update is mostly housekeeping with modest alignment benefits. Erik Nakamura’s salary moves to $400,000 and his long-term incentive is set at 1% of operating income, capped at 250 restricted stock units annually; his employment remains at will and the rest of his terms are unchanged. 〔1〕
| Metric | FY2026-27 terms | Prior reference | Cap / target |
|---|---|---|---|
| CEO base salary (CEO Compensation Agreement) | $700,000 | $500,000 FY2025 salary | |
| CEO one-time cash award (CEO Compensation Agreement) | $475,000 | ||
| CEO cash incentive (CEO Compensation Agreement) | 4% of operating income | 2x base salary | |
| CEO equity incentive (CEO Compensation Agreement) | 1% of operating income | 400 shares | |
| CFO base salary (CFO Letter Agreement) | $400,000 | $395,000 FY2025 salary | |
| CFO bonus target (CFO Letter Agreement) | $200,000 | 50% of salary |
Bottom line: This is a modestly constructive continuity event, not a business-model inflection. Daily Journal has aligned both top executives more directly with operating income, but the benefit is diluted by a higher CEO pay floor and a $475,000 upfront award; the package matters mainly as a governance and retention signal while Journal Technologies expands.
