$1B senior notes — $1.0B due 2034; repays revolver and redeems part of 2028 notes
FTAI’s new debt offering funds its accelerated buyback, repays revolver borrowings, and partly refinances 2028 notes.
FTAI is shifting from a balance-sheet-heavy aircraft-leasing model toward aerospace products and asset-light Strategic Capital, while using strong recent operating momentum to support a $500 million accelerated share repurchase. Its October 29, 2026 results described Aerospace Products as the growth engine and confirmed the buyback was expected in the fourth quarter.
The financing turns a buyback-funded revolver draw into longer-term debt. FTAI is commencing a $1.0 billion senior-notes offering due 2034, with proceeds intended to repay the revolver that funded the accelerated share repurchase. 〔0〕 This removes the immediate revolver balance without cutting the facility’s commitments, improving maturity visibility but leaving the company with additional term debt.
It also begins refinancing the 2028 maturity, but the economics are not yet knowable. Part of the proceeds is intended to redeem some 5.50% notes due 2028. 〔1〕 The filing does not disclose the new notes’ coupon, pricing, amount of 2028 notes to be redeemed, or whether the transaction will reduce total debt, so the balance-sheet benefit is mainly maturity extension rather than clearly lower interest cost.
The capital action supports the operating story but adds leverage to the shareholder-return strategy. FTAI had just expanded its repurchase authorization to $1.0 billion and planned a $500 million accelerated repurchase, making this offering a new funding step rather than a change in business direction. Because the debt is being used partly to finance a buyback—not solely to fund growth—the development is constructive for liquidity management but mixed for financial risk.
Bottom line: This is a modestly supportive refinancing that extends maturities and preserves revolver capacity, but it does not materially improve the underlying business and could raise interest costs or leverage depending on pricing. The filing matters, though its final impact remains incomplete until the notes are priced and the redemption terms are disclosed.
