Superior Group acquisition expands TOG into Philippines—but financial payoff is undisclosed

$26.9M acquisition — $26.9M cash plus up to $6.4M earn-out

Superior Group’s acquisition gives The Office Gurus its first disclosed Philippine platform, but the filing leaves the target’s financial contribution unquantified.

Superior’s Contact Centers business, The Office Gurus, is trying to rebuild growth after client downsizing and customer attrition pushed 2025 segment revenue down 4.6%; second-quarter 2026 revenue was still down 3.7% year over year. This acquisition addresses a real strategic gap. TOG has operated mainly across El Salvador, Belize, the Dominican Republic and the United States, while Select VoiceCom adds delivery centers in Cebu City and Davao and gives the segment a Philippines operating base. The filing says the acquired business has operated for 18 years and that its founders will remain involved. 〔0〕 〔1〕

The price is meaningful relative to the existing segment, but the economics are still unproven. The upfront cash equals roughly 29% of TOG’s 2025 revenue, with another $6.4 million payable only if revenue targets are met over two years. That makes this more than a small tuck-in, yet the filing gives no acquired revenue, profit, customer concentration or expected synergies, so investors cannot determine whether the purchase is accretive or simply adds scale. The comparison to TOG’s 2025 revenue is based on the company’s reported segment results.

TOG gets geographic diversification and a platform for its technology, not an immediate earnings upgrade. Management says GuruSuite iX and its operating model should improve agent performance, quality assurance, training, analytics and automation, but those are claimed integration benefits rather than disclosed financial results. The acquisition therefore modestly advances the segment’s growth strategy while leaving the key payoff—the target’s actual earnings contribution—to later reporting. 〔2〕

Bottom line: This is a strategically sensible expansion into the Philippines at a material price, and it gives a shrinking contact-center segment a new growth platform. It is modestly positive for the business story, but not enough to rewrite it until SGC discloses what the acquired operation actually contributes and how integration performs.
