Cipher Digital earnings miss as HPC revenue starts, Barber Lake expands

Miss — Revenue $26.7M vs ~$38.7M consensus

Cipher Digital’s earnings show the HPC pivot has started producing rent, but revenue and adjusted EBITDA missed as bitcoin mining fades.

Cipher Digital is midway through its pivot from bitcoin mining into an HPC data-center development platform, with Black Pearl and Barber Lake serving as the first execution tests. Earlier company materials framed 2026 as an execution year, with those projects funded and construction progressing on schedule.

The pivot has begun operationally, but not at the revenue scale the market expected. Cipher recognized its first HPC lease revenue at Black Pearl, a meaningful business-model milestone. 〔0〕 But total revenue was $26.7 million versus roughly $38.7 million consensus, with bitcoin-mining revenue falling to $20.8 million from $71.7 million a year earlier. That makes this a quarterly miss even though the new HPC line has started.

FigureQ3 2026Q3 2025Consensus
Total revenue (Income Statement)$26.7M (-62.8%)$71.7M$38.7M

Adjusted EBITDA (Reconciliation)$(10.0)M$40.8M—
Long-term borrowings (Balance Sheet)$5.45B—$2.71B at Dec. 31, 2025

The apparent EPS beat is low-quality. Diluted EPS of negative $0.22 was better than the roughly negative $0.25 consensus, but the quarter’s $127.2 million gain from the warrant liability was the main reason the company reported positive net income despite a $71.9 million operating loss. Core profitability weakened: adjusted EBITDA swung to negative $10.0 million from positive $40.8 million a year earlier.

The longer-term HPC story advanced, but much of the headline was already known. The Barber Lake amendment was previously announced, so the new filing mainly confirms its economics and construction progress rather than introducing a surprise. It lifts contracted revenue at the site to approximately $9.1 billion and adds approximately $5.2 billion of incremental rent. The company also says several data halls across Black Pearl and Barber Lake are scheduled to come online through year-end, which is the key bridge from contracted potential to recurring HPC revenue.

Execution is being funded with substantially more leverage. Cipher completed an $850 million zero-coupon convertible-notes offering to fund additional Barber Lake equity investment. That supports construction, but long-term borrowings nearly doubled from year-end while stockholders’ equity declined, leaving the company dependent on delivering the contracted projects on schedule.

Bottom line: The filing confirms that Cipher’s HPC transition is moving from construction into initial revenue, but the quarter still missed on sales and produced negative adjusted EBITDA. The business story is improving strategically, yet this earnings print is a modest negative because the revenue ramp remains below expectations and the financing burden is rising.
