$700M disposition — $700M all-cash sale; closing confirmed November 1
Tripadvisor’s TheFork disposition is now complete for $700 million in cash, removing a restaurant-tech business as the company refocuses on experiences.
Tripadvisor is simplifying around its Experiences business after previously announcing plans to sell TheFork, its European restaurant-booking platform, and recasting TheFork as discontinued operations. The filing confirms that the planned transaction has now closed; the strategic direction is therefore execution of an existing plan, not a new pivot.
The $700 million exit is now legally complete. American Express acquired TheFork in an all-cash transaction, subject to adjustments, and Tripadvisor will provide transition services for 12 months.
The business impact is meaningful, but the information content is limited. TheFork was already being separated from continuing operations and the sale price had been public since June, so the closing removes execution uncertainty rather than changing the market’s basic understanding of Tripadvisor. The company now has cash proceeds and one fewer operating platform, but this filing does not say how the money will be deployed or quantify the final accounting gain, taxes, or post-sale effect on earnings.
The transition risk is still active. Tripadvisor remains responsible for specified services for up to 12 months, while the filing flags possible technology-separation costs, tax consequences, and the operational risks of running without TheFork. 〔0〕
The next useful disclosure is close at hand. Tripadvisor says it expects to discuss the transaction on its third-quarter 2026 earnings call on November 5, when investors should get more detail on proceeds, accounting treatment, continuing-operations comparisons, and capital allocation. 〔1〕
Bottom line: This completes a strategically important divestiture, but it does not surprise the market or rewrite Tripadvisor’s story today. The real read-through comes with the November 5 earnings discussion, when the company explains what remains after TheFork and how it will use the cash.
