Rapport Therapeutics, Inc. (RAPP) · Oct 30, 2026 · New debt
$412.5M financing — $215.7M equity + $166.8M notes + ~$30.0M PIPE
Rapport Therapeutics’ financing funds RAP-219’s pivotal push through 2029, but the package brings sizable equity dilution and new convertible debt.
Rapport is a clinical-stage neuroscience company moving RAP-219 into pivotal Phase 3 testing for focal-onset seizures, after positive bipolar-mania Phase 2 data, while preparing additional epilepsy and long-acting-injectable programs. This materially funds the next development leg. The company closed a roughly $412.5 million package across common stock, pre-funded warrants, a private placement and convertible notes, with proceeds directed primarily toward RAP-219 clinical trials and research. The filing says the offering proceeds plus existing investments should fund operations through the end of 2029. 〔0〕
| At closing | Comparison | |
|---|---|---|
| Common-offering net proceeds (Underwriting Agreement) | $215.7M | |
| Convertible-notes net proceeds (Notes Offering) | $166.8M | |
| PIPE purchase price (Purchase Agreement) | $30.0M | |
| Total financing proceeds | $412.5M | |
| Preliminary cash at Sept. 30 (Results of Operations) | $395.0M | |
| Convertible notes issued (Notes Offering) | $172.5M |
The trade-off is meaningful dilution and leverage. The equity portion issued 9.76 million common shares, while pre-funded warrants cover another 1.19 million shares and the PIPE adds 1.43 million shares—roughly 12.4 million share-equivalents before any conversion of the notes. The convertible debt carries a relatively low 2.25% coupon, but its physical-settlement structure can ultimately require delivery of shares at an initial conversion price of $26.775.
This is execution capital, not a new clinical result. The financing follows the already-public plan to advance RAP-219 through pivotal epilepsy trials and toward bipolar-mania Phase 3 planning, so the direction was partly known; the surprise is the size and fully exercised upsizes. The company also retains flexibility to pursue acquisitions or licenses, but disclosed no current commitment to do so. 〔1〕
The runway headline is stronger than the incremental extension. Rapport previously said its June 30 cash balance was expected to fund operations into the second half of 2029, while this filing moves the stated estimate to the end of 2029. That suggests the raise is mainly about supporting a larger, more expensive clinical buildout and reducing near-term financing risk—not about creating a dramatically longer stated cash horizon.
Bottom line: Rapport has removed a major funding obstacle for RAP-219’s pivotal program, but it paid for that certainty with substantial equity issuance and $172.5 million of convertible debt. The business story improves through execution capacity, while the capital structure becomes more diluted and encumbered.
