$2.35B acquisition — Court-ordered pursuit; closing still subject to FTC review
Verisk’s acquisition filing confirms the company must continue pursuing AccuLynx after losing its Delaware appeal, though FTC review still leaves the closing uncertain.
Verisk is an insurance-focused data and software company expanding beyond core analytics into adjacent workflow platforms; AccuLynx adds cloud software used by roofing contractors and sits close to Verisk’s property-claims ecosystem.
The court ruling removes Verisk’s ability to simply walk away. The Delaware Supreme Court affirmed the lower-court judgment, and Verisk says it will proceed under that order: “We respect the Delaware Supreme Court’s order to affirm the judgment of the Delaware Chancery Court.” 〔0〕 The practical effect is that Verisk must continue pursuing the previously announced acquisition rather than treat the delayed regulatory review as an exit route.
This is not a completed acquisition or a clean strategic win. Verisk explicitly says the deal remains subject to customary closing conditions and FTC review, with “no guarantee that the transaction will be completed.” 〔1〕 That leaves the business outcome unresolved: Verisk is back on the path toward the roughly $2.35 billion purchase, but the regulatory process—and the associated capital commitment—remains live.
The filing itself adds little new information. The Delaware Supreme Court order and Verisk’s response were issued on October 23, 2026; this October 29 filing mainly formalizes that already-public development.
Bottom line: Verisk’s AccuLynx strategy is back in force because the courts rejected its attempted exit, but the deal still depends on FTC clearance. The 8-K confirms a consequential obligation rather than delivering a newly resolved transaction outcome.
