Workhorse partnership lands $10M TerraPod build, but 150 units remain uncommitted

$10M manufacturing agreement — $10M spec-unit agreement; 150 systems remain subject to definitive documentation and approvals

Workhorse’s new partnership brings a $10M TerraPod manufacturing commitment, but the potential 150-system order still depends on a future supply agreement.

Workhorse is trying to offset weak electric-truck demand and severe cash pressure by expanding from commercial EVs into modular AI data centers. Its June 30, 2026 filing described the AI product line as an early-stage growth initiative, while reporting $9.6 million of cash, a $40.1 million six-month net loss, $40.6 million of operating cash burn, and substantial doubt about its ability to continue as a going concern.

The partnership turns TerraPod from a concept into a funded commercial-development step. RHAELM has agreed to pay Workhorse $10 million for a full-scale manufacturing-spec unit at Union City, giving Workhorse a named infrastructure partner and a concrete project rather than just an internally developed product line.

The cash-equivalent scale is meaningful, but the filing does not say when the $10 million will be received. If collected, the commitment would roughly match Workhorse’s June 30 cash balance, making this potentially important liquidity support; however, it is tied to building the reference unit, not confirmed production revenue or a broad customer rollout.

The headline 150-unit opportunity is not an order yet. The Letter of Intent is explicitly non-binding, and the contemplated first order remains dependent on RHAELM accepting the co-developed platform, definitive documentation, and internal approvals. 〔0〕

The business impact is strategically positive but still several steps removed from scale. The partnership could give Workhorse a route into RHAELM’s broader project pipeline and a U.S. right of first refusal, but the supply agreement, platform acceptance, consortium approvals, production readiness, and customer demand are all still ahead. Workhorse itself says production may not begin until late 2027 or early 2028. 〔1〕

Bottom line: This is a meaningful validation and potential liquidity bridge for Workhorse’s AI-infrastructure pivot, not yet proof of a 150-unit revenue stream. The $10 million development commitment is the real news; the much larger commercial upside remains conditional.
