Debt refinanced — $300M revolver extended from August 2027 to October 2031
Cricut’s new credit agreement refinances its existing $300 million revolver through 2031, improving maturity runway without expanding borrowing capacity.
Cricut is trying to shift from a hardware-led recovery toward a platform model built around connected machines, materials, software and subscriptions; its latest reported quarter showed revenue down 9% year over year even as paid subscribers topped 3.1 million and net income rose.
The immediate change is maturity relief, not fresh capacity. Cricut has signed a new five-year revolver with the same $300 million total commitment, replacing the prior facility that was scheduled to mature on August 4, 2027. The new agreement runs to October 22, 2031. 〔0〕 (Section 1.1; Commitment Schedule)
| Credit term | New facility | Prior facility / implication |
|---|---|---|
| Total revolving commitment | $300 million | $300 million; no capacity increase (Commitment Schedule) |
| Maturity | October 22, 2031 | August 4, 2027 under prior facility |
| Foreign-currency sublimit | $30 million | Part of, not additive to, global commitments (Section 1.1) |
| Swingline sublimit | $30 million | Available within the revolver (Section 2.5) |
| Issuing bank sublimit | $35 million for BMO | Letter-of-credit capacity (Section 2.6) |
| Financial covenants | Net leverage no higher than 3.00x; interest coverage at least 3.00x | Ongoing covenant framework (Section 6.12) |
This is supportive for execution because it removes a nearer-term refinancing deadline while Cricut is still proving its platform strategy. The facility can fund working capital, general corporate purposes, permitted acquisitions and share repurchases. 〔1〕 (Transactions; Section 5.8) But the filing does not disclose a new borrowing or an increase in net debt; it establishes available liquidity and says proceeds may repay existing indebtedness. 〔2〕 (Section 5.8)
The flexibility is meaningful but bounded. Cricut can seek additional revolver commitments or term loans, but only through a future amendment and subject to lender approvals and a $225 million or EBITDA-based incremental capacity limit. 〔3〕 (Section 2.9) The new agreement also keeps leverage discipline in place, including a 3.00x net-leverage ceiling, with a temporary 3.50x allowance only after a qualifying acquisition above $75 million. (Section 6.12)
Bottom line: This is a clean maturity extension that gives Cricut more time and optionality to execute its subscription and platform strategy, but it is not a growth financing or evidence of improved operating momentum by itself.
