$1M revolver — 12% unsecured facility; no amount borrowed; lender controls drawdowns
GeoVax’s new financing offers up to $1 million, but no cash has been drawn and lender nominees now control the board majority.
GeoVax is a clinical-stage biotech racing to fund its GEO-MVA mpox/smallpox vaccine toward a planned Phase 3 trial in late 2026, while its latest filing said cash was expected to support operations only into September 2026 and still disclosed substantial doubt about going-concern status.
This is a financing backstop, not fresh cash today. The company has access to an unsecured revolving facility of up to $1.0 million at 12%, but it had borrowed nothing as of the 8-K, so the announcement does not yet extend the runway. 〔0〕
| Term | Filing detail |
|---|---|

| Default rate | 16% per year (Revolving Loan Agreement) |

| Current principal outstanding | $0 (Current Report disclosure) |
The liquidity is materially less certain than the headline implies. Every draw is subject to the lender’s sole discretion, and the lender can terminate the commitment at any time; that makes this a potential bridge rather than dependable committed capital. 〔1〕 〔2〕
The price of the backstop is unusually heavy governance influence. Five existing directors resigned and three lender-designated directors now make up three of the five board seats and a majority of every board committee. The lender also retains replacement-designation rights, while GeoVax must preserve those seats and cannot dilute their board representation without consent. 〔3〕
The agreement points directly to a larger equity raise, not self-sustaining operations. GeoVax must use reasonable best efforts to complete a registered offering of at least $5 million as soon as practicable, with additional offerings expected to bring total financing to at least $10 million. 〔4〕 That may fund the GEO-MVA program, but it also makes the company’s near-term story more dependent on equity issuance and potential dilution.
Bottom line: The filing buys GeoVax a possible bridge toward its Phase 3 funding plan, but it does not deliver cash yet and transfers meaningful board influence to the lender. It advances the financing process while underscoring how urgent the capital need remains.
