CDT evaluation agreement opens animal-health option but adds dilution

$195k evaluation agreement — 1,347,616 shares issued at $0.1447 for $195,000

CDT signed an evaluation agreement to test AZD1656 and AZD5904 in animal health, creating licensing upside but no deal yet and adding equity dilution.

CDT is a cash-constrained biotech platform trying to unlock value from clinical-stage assets through reformulation, repositioning and partnerships rather than funding a conventional late-stage development program. Its latest quarterly filing showed just $0.7 million of cash at June 30, 2026, continuing operating losses and substantial doubt about its ability to remain a going concern.

This creates a real but early monetization option. Manoira will test AZD1656 and AZD5904 alongside its planned animal-health products, with a possible licensing and commercialization agreement only if the evaluation demonstrates better efficacy, safety, formulation or other commercial attributes. The contract does not itself grant commercial rights: “Nothing in this Agreement grants any licence or transfers any rights in the CDT Assets or the Manoira Products, except the limited right for Manoira to use the CDT Assets for the Evaluation Programme.” 〔0〕

The economic signal is smaller than the headline suggests. CDT received no cash for the evaluation; it issued 1,347,616 shares at $0.1447 to settle a $195,000 payment to Manoira. That is consistent with CDT’s financing constraints, but it shifts the cost onto existing shareholders rather than extending runway with new capital.

The filing also bundles in a meaningful equity-settlement overhang. CDT disclosed 437,779 shares issued to Sarborg and 499,616 shares issued to former CEO Andrew Regan for severance, in addition to the Manoira shares—at least 2,285,011 disclosed shares in total, excluding the separately referenced but unquantified Service Provider Shares. Regan is also Manoira’s sole director and owns more than 5% of CDT, although the filing says he will receive no consideration from the Manoira transaction. The related-party connection does not invalidate the deal, but it makes the eventual commercial outcome more important to the credibility of the arrangement.

The next test is operational, not financial. The evaluation plan must be agreed by November 30, 2026, and Manoira must deliver results within 60 days after completion. “If the Results show that the CDT Assets provide an improved product offering,” the parties will negotiate in good faith for 120 days—but that is a future negotiation, not committed revenue. 〔1〕

Bottom line: This advances CDT’s asset-repositioning strategy with a defined animal-health experiment, but it does not yet monetize AZD1656 or AZD5904. The immediate, certain result is equity dilution; the commercial value remains contingent on test results and a later licensing deal.
