$4.8M preferred issuance — $1.5M new cash; $3.22M retained for overdue true-up payments
Valion Bio’s latest financing provides $1.5M of fresh cash while using $3.2M to settle overdue preferred-stock true-ups, increasing dilution.
Valion Bio is a cash-constrained clinical-stage biotech advancing Entolimod toward regulatory review, government-backed procurement and additional clinical work, while also evaluating strategic options for its Velocity Bioworks manufacturing business. Recent company disclosures said its cash resources may be insufficient for the following twelve months, creating a standing need for financing.
The financing improves liquidity, but much less than the headline amount suggests. The two side letters cover $4.77 million of preferred-stock and warrant issuance, but only $1.5 million arrives as immediately available cash; $3.22 million is retained by purchasers to satisfy overdue cash true-up payments.
| Component | Amount | What it means |
|---|---|---|
| Series B purchase | $50,000 | 50 preferred shares plus warrants for 1,539 common shares |
| Series C purchase | $4,717,717.61 | 4,717.73 preferred shares plus warrants for 2,524,343 common shares |
| Fresh cash | $1,500,000 | New liquidity for the business |
| Overdue true-up settlement | $3,217,717.61 | Financing proceeds retained by purchasers |
| Total stated purchase price | $4,767,717.61 | Headline financing amount |
The deal addresses an immediate funding problem while exposing financial strain. Valion receives some runway for Entolimod development and operations, but the need to use most of the transaction to cure overdue obligations means this is partly balance-sheet repair rather than growth capital. The filing explicitly says the Series C transaction includes “overdue cash true-up payments,” making the cash benefit materially smaller than the gross issuance.
Dilution and financing overhang remain central. The Series C warrants cover 2,524,343 common shares at an initial exercise price of $1.0092, while the Series B warrants cover another 1,539 shares. The issuance is not a surprise in direction because it uses existing Series B and Series C purchase arrangements, but the size of the closing and the cash-versus-true-up split are new details.
This supports the operating story only modestly. The company has near-term Entolimod milestones, including a potential Ukraine regulatory decision, but this transaction does not fund a major strategic acceleration; it mainly keeps the company moving while it manages a weak liquidity position and considers broader strategic options. That makes the event better than no financing, but not a clean capital raise relative to the company’s underlying needs.
Bottom line: Valion Bio buys some near-term liquidity, but the headline $4.8 million overstates the benefit because most of the proceeds settle overdue obligations. The filing reinforces a financing-dependent business rather than materially changing that story.
