BranchOut Food Inc. (BOF) · Oct 26, 2026 · Share issuance
$4.6M equity raise — Approximately $4.6M net proceeds
BranchOut Food’s equity offering is complete, adding $4.6M of net cash for operations and capital spending—but expanding the share count materially.
BranchOut is a growth-stage dehydrated-snack company scaling production through its Peru facility and trying to convert revenue growth into a sustainable, higher-margin operation. Before this raise, the business was growing but financially strained: second-quarter revenue rose to $4.46 million while the net loss widened to $2.72 million, cash was only $212,000, and management had disclosed substantial doubt about its ability to continue without additional capital.
The offering repairs the immediate liquidity problem, not the underlying operating problem. The company raised cash through a firm-commitment stock sale and can now fund working capital, operating expenses and capital expenditures.

| Over-allotment option | Up to 441,176 additional shares |

The trade-off is substantial dilution. The prospectus indicates the deal increases shares outstanding from about 16.26 million to 19.20 million before any over-allotment, roughly an 18% expansion, while pro forma net tangible book value is about $0.56 per share. That is a costly way to buy runway, but the prior cash position and operating burn made new funding difficult to avoid.
This filing is confirmation rather than a fresh surprise. The offering was priced on October 23, 2026 and the closing was announced as expected on October 26, so the market already knew the size, price and intended use of proceeds before this closing notice. 〔0〕
Bottom line: BranchOut has bought itself additional operating runway to scale production, but it has not yet demonstrated that the business can turn growth into cash generation. The event is important financially, yet mostly confirms an already disclosed, heavily dilutive funding solution.
