Datavault AI Inc. (DVLT) · Oct 26, 2026 · Restatement
Restatement — Assets expected down $92.2M at December 31, 2025
Datavault AI’s restatement invalidates four periods of financials, cuts reported assets and raises fresh going-concern, controls and filing-delay risks.
Datavault is trying to commercialize AI-driven data monetization, real-world-asset tokenization and related exchange infrastructure, while using its technology-licensing portfolio as the foundation for growth. This filing materially damages the financing and liquidity story supporting that transition. The company now says its Bitcoin from the Scilex equity transaction did not qualify as a company asset, meaning previously reported crypto holdings cannot simply be treated as available liquidity. 〔0〕
| Affected date | Expected reduction in total assets |
|---|---|
| September 30, 2025 | $8.1 million (restatement expectations) |
| December 31, 2025 | $92.2 million (restatement expectations) |
| March 31, 2026 | $57.1 million (restatement expectations) |
| June 30, 2026 | $49.0 million (restatement expectations) |
The accounting error is large relative to the previously reported balance sheet. The expected asset reductions peak at $92.2 million at December 31, 2025, and the company expects to reverse the related crypto gains and losses; the final impact on earnings, cash flows and disclosures remains unfinished.
The bigger issue is collectability, not just presentation. The replacement asset is a subscription receivable from Scilex, but the company says collection is uncertain and that it has been unable to withdraw Bitcoin from the Biconomy wallet since June 2026. That directly weakens the liquidity resources previously used to support the business. 〔1〕
This also creates execution friction for the operating transition. All four previously issued financial statements should no longer be relied upon, the restatement timing is unknown, and management has not completed its review of internal controls or determined whether a material weakness exists. The company specifically warns of possible delays to the September 30, 2026 quarterly filing, Nasdaq compliance pressure and a need for additional financing. 〔2〕
Bottom line: This is not a routine accounting cleanup: it removes a major reported liquidity asset, reopens the going-concern question and puts the company’s reporting controls under review. The commercial technology story is now competing with a much weaker and less certain financial foundation.
