Innventure gets Nasdaq warning as bid price stays below $1

Nasdaq deficiency — 30 consecutive business days below $1; cure deadline April 21, 2027

Innventure received a Nasdaq deficiency notice after 30 trading days below the $1 minimum, giving it until April 21, 2027 to regain compliance.

Innventure is a venture-building platform trying to commercialize a small portfolio of industrial technology companies, including Accelsius, AeroFlexx and Refinity, while shifting toward long-term ownership rather than near-term exits. This adds a real capital-markets problem to an already execution-heavy story. Nasdaq says Innventure failed the $1 minimum bid-price rule after 30 consecutive business days below the threshold. The immediate consequence is not delisting: the company has until April 21, 2027 to produce at least ten consecutive business-day closes at or above $1. 〔0〕

The notice raises the likelihood of a future corporate action if the business does not re-rate on its own. If Innventure misses the initial deadline, it may seek another 180-day window by transferring from the Nasdaq Global Market to the Nasdaq Capital Market, but that requires meeting the market's other initial listing standards and notifying Nasdaq of its intent to cure. 〔1〕 That creates a potential reverse-split or other share-structure decision later, although this filing does not announce one.

Bottom line: This does not change Innventure's operating assets today, but it weakens the platform's public-market footing and puts a hard deadline around restoring the listing condition. It is a meaningful negative development, not an immediate delisting event.
