Unusual Machines acquisition closes; battery expansion brings dilution

$52M acquisition — 1.792M shares, $1M cash, up to $26M earn-out

Unusual Machines completed its Upgrade Energy acquisition, adding domestic battery capabilities while issuing stock and granting resale registration rights.

Unusual Machines is building a U.S.-made drone-component platform spanning motors, flight systems, video equipment and now batteries, aimed at defense, enterprise and consumer demand for domestically sourced small-drone hardware. The Upgrade Energy transaction was announced in May and had been expected to close during 2026, so the strategic direction was already known; this filing mainly makes the battery expansion legally complete.

The acquisition advances vertical integration, but does not yet prove financial contribution. Upgrade adds battery and power-system capability to Unusual Machines’ existing component lineup, giving the company a broader domestic supply chain and a new product category. The transaction was structured around 1.792 million shares, $1 million of closing cash and a potential $26 million cash earn-out tied to revenue performance, so much of the consideration is contingent rather than paid upfront.

Potential earn-outUp to $26 million

The registration-rights agreement makes the equity consideration more saleable. The agreement requires the company to file a resale registration statement within 30 days after closing, covering the seller’s shares: “Within 30 days after Closing, the Parent shall file with the SEC a Registration Statement on Form S-3 or, if the Parent is not then eligible to use Form S-3, on Form S-1.” 〔0〕 That is routine deal mechanics, but it removes a resale restriction for the former Upgrade owner and leaves a potential supply-overhang issue alongside the strategic benefit.

The filing changes the operating story more than the near-term earnings story. It confirms that Unusual Machines has moved from planning a battery acquisition to integrating one, but provides no post-close revenue, margin or production data to show whether Upgrade will meet the earn-out threshold. The transaction is therefore strategically meaningful but not yet an operating proof point.

Bottom line: Unusual Machines has completed a previously telegraphed move into domestic drone batteries. It broadens the platform, but the immediate trade-off is stock issuance and future resale capacity before the acquired business has demonstrated its contribution.
