$3B revolving facility — $3.0B capacity vs $1.5B prior facility
Marvell’s new credit agreement doubles revolving capacity to $3 billion, adding liquidity for custom silicon, acquisitions and broader AI infrastructure needs.
Marvell is increasingly an AI-infrastructure supplier: data center represented roughly three-quarters of fiscal 2026 revenue, while custom silicon had grown to about 25% of data-center revenue. The company is also extending that platform through its Celestial AI acquisition and its NVIDIA partnership.
The headline change is materially more financial flexibility. The third amended and restated agreement raises the revolving facility to $3.0 billion, versus the $1.5 billion facility put in place in June 2025. The new agreement also runs for five years from its effective date. 〔0〕 The prior facility had a $1.5 billion commitment and the same five-year maturity structure.
| Item | New agreement | Prior agreement |
|---|---|---|
| Revolving capacity | $3.0 billion (Definitions) | $1.5 billion |
| Maturity | Fifth anniversary of effective date (Definitions) | Fifth anniversary of effective date |
| Base leverage limit | 4.00x (Section 6.06) | 4.00x |
| Acquisition step-up | 4.50x for four quarters after a qualifying acquisition of at least $500 million (Section 6.06) | No comparable step-up disclosed in the prior agreement |
| Permitted use | Working capital and general corporate purposes (Sections 3.14, 5.09) | General corporate purposes |
This is liquidity for the strategy, not fresh operating capital today. The filing does not disclose a new borrowing or cash proceeds; it establishes standby capacity that can support working capital, acquisitions or other corporate needs. 〔1〕 That matters because Marvell is pursuing a capital-intensive AI and data-center opportunity, but the agreement itself does not prove that management has committed to a specific acquisition or expansion project.
The acquisition flexibility is the most strategic addition. The agreement permits a temporary leverage ceiling of 4.50x following a qualifying acquisition costing at least $500 million, up from the normal 4.00x limit. That gives Marvell more room to fund or absorb a large transaction, consistent with its ongoing effort to broaden its AI connectivity and custom-silicon portfolio, though no transaction is announced here.
The structure also preserves lender protection. The revolver remains unsecured, subject to standard financial, default and leverage covenants, and the agreement explicitly amends and restates rather than eliminates the prior facility. 〔2〕
Bottom line: This is a meaningful upgrade to Marvell’s funding capacity, supporting an already aggressive AI-infrastructure expansion plan. It improves optionality rather than earnings immediately, so the business impact is supportive but indirect until the company actually draws the facility or deploys it into an acquisition or investment program.
