$350M SPAC LOI — ~$350M pro forma enterprise value; $75M PIPE including CION’s proposed $25M anchor
CION’s David’s Bridal investment gets a potential Pearl SPAC exit and $25M anchor role, but the deal remains non-binding and projection-heavy.
CION is trying to turn a post-bankruptcy bridal retailer investment into an asset-light digital wedding platform: David’s Bridal has been expanding Pearl’s AI planning, media and vendor-marketplace businesses alongside its stores. This filing creates a potential monetization and valuation path for that turnaround. Pearl would be separated from David’s Bridal and combined with K&F Growth Acquisition Corp. II as a standalone public company; the proposed transaction values it at roughly $350 million enterprise value, or about 9.3 times projected 2027 EBITDA.
| Proposed item | Figure | Filing context |
|---|---|---|
| Pearl pro forma enterprise value | ~$350M | About 9.3× projected 2027 EBITDA |
| PIPE financing | $75M | Subject to upsizing |
| CION proposed anchor investment | $25M | Subject to definitive documentation |
| Projected 2027 Pearl revenue | >$85M | Management forecast; more than 100% growth |
| Projected 2026 EBITDA margin | >30% | Management forecast |
For CION, the important change is optionality, not a completed exit. CION is David’s Bridal’s largest shareholder and has proposed putting another $25 million into the PIPE, giving it a chance to support and potentially benefit from a public-market separation rather than remaining tied only to the retailer.
The headline valuation is still highly provisional. The LOI is non-binding, Pearl’s forecasts were prepared by management and were not independently audited or verified by K&F, and the transaction still requires definitive agreements, financing, shareholder approval, regulatory clearance and sufficient SPAC shareholder support. The proposed closing is targeted for the first half of 2027, not imminent. 〔0〕
The deal also depends on keeping the SPAC alive. K&F shareholders must first approve an extension of the business-combination deadline from November 6, 2026, to February 7, 2028; redemptions could reduce the cash available and weaken the financing plan. CION’s proposed $25 million commitment is therefore a meaningful signal of support, but not yet realized value.
Bottom line: This is a credible new exit framework for CION’s David’s Bridal exposure and gives Pearl a standalone growth story, but the $350 million valuation is a management projection attached to a non-binding SPAC process. The business narrative advances; the financial outcome remains unproven.
