Two directors appointed — Board expanded from 8 to 10; both directors independent
Lattice’s board expands to 10 with two independent directors whose cloud, networking and data-center backgrounds fit its AMI-led AI strategy.
Lattice is shifting beyond low-power FPGAs toward a broader AI data-center control platform after acquiring AMI, combining hardware with firmware and infrastructure manageability. Its recent work with Arm and the Open Compute Project shows the company is trying to become part of the control layer for increasingly complex AI infrastructure.
The board is now better matched to that strategy. Lattice increased the board from eight to 10 directors and appointed John McCool and Raejeanne Skillern, both classified as independent. McCool brings operating experience in networking hardware, manufacturing and supply chain, while Skillern adds cloud, data-center and AI experience; she also previously served on Lattice’s board from 2022 to 2024. 〔0〕
This is strategically relevant, but not an operating inflection point yet. The appointments add oversight and industry credibility around Lattice’s AMI integration and AI-infrastructure ambitions, but the filing provides no new contract, product milestone, financial target or evidence of customer adoption. The board has not even assigned the new directors to committees yet, so the immediate business impact is governance capacity rather than changed results.
The cost is modest and standard for a board expansion. Each director receives an $80,000 annual cash retainer and a prorated $220,000 restricted-stock-unit award, with vesting on May 4, 2027, subject to continued service. 〔1〕
Bottom line: This strengthens Lattice’s board for its AI and data-center push, but it confirms the strategy rather than advancing it operationally. The signal is positive on strategic fit, not a new revenue or execution milestone.
