Sports Entertainment Gaming Global Corp (SEGG) · Oct 20, 2026 · Delisting
Delisting appeal — Suspension threatened October 23 unless appeal succeeds; Q2 10-Q remains delinquent
SEGG’s Nasdaq delisting threat is now headed to a hearing. The appeal delays suspension, but the missing Q2 filing remains unresolved.
SEGG is trying to expand from its roots into a broader sports, entertainment, gaming, and digital-media portfolio, including and Veloce Media Group, while shifting from audience growth toward monetization.
The immediate issue is no longer the whole filing backlog, but the remaining delay is now a listing threat. SEGG says Nasdaq has confirmed that its 2025 Form 10-K and March 31, 2026 Form 10-Q are no longer deficiencies; the only delinquent report identified is the June 30, 2026 Form 10-Q. 〔0〕
| Filing status | What the filing says |
|---|---|
| Remaining delinquency | June 30, 2026 Form 10-Q |
| Threatened action | Suspension of common stock and warrants on October 23, 2026, absent appeal |
| Hearing fee | $20,000 |
| Hearing timing | Typically 30–45 days after request |
| Requested relief | Extended stay and up to 360 additional days to regain compliance |
The hearing request prevents an immediate suspension, but it does not solve the underlying reporting failure. SEGG timely requested a Nasdaq hearing and paid the $20,000 fee. The request provides a temporary procedural stay, while the company seeks a longer stay and more time to complete the Q2 report. 〔1〕
This is a negative escalation of a problem the market already knew about. The late filings and Nasdaq noncompliance had been disclosed earlier; the new information is that the maximum initial compliance window has expired and Nasdaq has moved to a suspension-and-Form-25 delisting path unless the appeal succeeds. 〔2〕
The prior 2023 Nasdaq hearing is precedent, not protection. Management points to a prior proceeding in which Nasdaq granted additional time and ultimately maintained the listing, but the release expressly warns that the earlier outcome does not determine this proceeding. The company also gives no assurance that the panel will extend the stay, grant an exception, or receive the Q2 filing on time. 〔3〕
Bottom line: The filing narrows the compliance problem to one report but materially raises the stakes: SEGG now needs both a timely Q2 filing and Nasdaq relief to preserve its listing. This is more than routine confirmation because suspension and delisting are now explicit near-term outcomes if the process fails.
