$630M SATS IPO — 7.0M shares at $90; 15% dividend on $100 stated amount
Strive’s SATS preferred-stock IPO closed at $630 million, funding its bitcoin-treasury strategy but adding a costly senior dividend claim.
Strive is building a bitcoin-treasury financing platform, not a traditional operating business. After completing its Semler Scientific merger, the company has been using preferred securities and other capital-market tools to expand its bitcoin exposure; a recent prospectus reported approximately 32,773 bitcoin as of October 9, 2026.

| Dividend reserve | $22.50 per share covering the first 18 months (SATS terms) |
The financing was successfully completed, but it is confirmation rather than a surprise. The 7-million-share upsized offering and October 20 settlement were already disclosed before this closing filing, so the event mainly removes execution risk rather than changing expectations. The company issued “7,000,000 shares” at “a public offering price of $90 per share.”
The capital materially expands Strive’s funding capacity, but at a high recurring cost. SATS carries a 15% cumulative dividend on a $100 stated amount, equivalent to $15 per share annually if declared; against the $90 issue price, that represents a roughly 16.7% cash yield before any market-price changes. Dividends are payable only when declared and from legally available funds, but the cumulative claim sits ahead of common equity. “The SATS Stock accumulates cumulative dividends at a rate per annum equal to 15.00% on the stated amount of $100 per share.”
The structure helps SATA while increasing pressure on the bitcoin strategy. SATS is junior to Strive’s existing SATA preferred stock, so the new $630 million of junior capital adds a cushion beneath SATA. But SATS itself ranks ahead of common stock and creates roughly $105 million of annual stated-rate dividend obligations if all 7 million shares remain outstanding. The first 18 months are partly prefunded with $22.50 per share, or about $157.5 million in total, using cash and securities.
The filing advances the capital-formation plan but does not yet prove the returns plan. The proceeds give Strive another instrument for buying bitcoin and managing the capital stack, but the filing provides no new evidence that bitcoin appreciation or portfolio returns will exceed SATS’s expensive fixed distribution. The market already knew the financing was coming; the new information is simply that it closed on the announced terms.
Bottom line: Strive has successfully added substantial capital for its bitcoin-treasury strategy and strengthened the layer beneath SATA, but it also locked in a large cumulative dividend burden. The business story advances, though the economic benefit depends on deploying the proceeds profitably enough to cover that cost.
SATS scheduled dividend dates begin November 9
