Class certification vacated — Fifth Circuit vacated the Texas District Court’s class-certification order
Filana’s lawsuit advances after the Fifth Circuit vacates class certification, reducing immediate litigation pressure but leaving the securities case alive.
Filana is a clinical-stage biotech rebuilding around therapies for Tuberous Sclerosis Complex-related epilepsy after discontinuing its Alzheimer’s clinical programs.
The legal posture improved, but the lawsuit did not end. The Fifth Circuit vacated the prior order certifying a class covering purchasers of the company’s securities from September 14, 2020 through October 12, 2023. That removes the existing class-wide framework and forces plaintiffs to clear the certification hurdle again, which is meaningfully better for Filana than defending the case as an already-certified class action.
This is a procedural win, not a merits victory. The appellate court said the Texas District Court had not properly evaluated evidence about market efficiency and possible meme-stock effects, but expressly made no decision on whether Filana’s securities actually traded in an efficient market. 〔0〕 The underlying claims therefore remain alive, and the company still faces renewed class-certification proceedings on remand.
Bottom line: The filing reduces Filana’s immediate securities-litigation exposure and weakens plaintiffs’ current position, but it does not resolve the case or eliminate the liability overhang. It matters as a litigation-risk improvement, not as a change to the company’s drug-development story.
