$17M settlement — $17M payment ends litigation and future royalties
Collegium’s $17M Nucynta settlement ends the patent fight, eliminates future royalties and secures related patents—but costs cash upfront.
Collegium is diversifying into ADHD while its legacy pain portfolio faces generic pressure. Its newer ADHD products are becoming a growth engine, while Nucynta remains a declining part of the pain business: second-quarter Nucynta franchise revenue was $35.2 million, including $5.1 million from authorized generics.
The filing removes a meaningful legal overhang around the Nucynta authorized generic. Collegium will pay Grünenthal $17 million, terminate the Grünenthal license, receive assignments of certain Nucynta-related patents, and have all future royalties under the license discharged. 〔0〕 〔1〕
The economics are better after the upfront payment, assuming the authorized-generic business continues. The company exchanges $17 million of cash for a cleaner ownership and royalty structure, plus Grünenthal’s motion to dismiss the patent case. That is strategically useful because the litigation was tied specifically to the planned Nucynta ER authorized-generic launch, which had already become a source of revenue pressure and uncertainty. 〔2〕
This is a resolution, not a growth catalyst. It does not reverse Nucynta’s underlying generic erosion; it mainly converts an open-ended patent dispute and royalty obligation into a known cash cost and a clearer path to commercialize the authorized generic. The lawsuit was known before this filing; the new information is that Collegium has bought certainty and royalty relief rather than continuing the fight.
Bottom line: Collegium paid a manageable upfront price to remove Nucynta litigation risk and improve the authorized-generic economics. It strengthens the existing pain franchise’s cash-generation setup, but does not change the broader need for ADHD growth to offset Nucynta pressure.
