Metaplanet deal approved — 2,100 BTC plus $2.5M investment approved; closing still pending
Super League’s shareholder vote approves the Metaplanet investment and Bitcoin-treasury pivot, but the transaction still awaits closing.
Super League is a small gaming-advertising operator attempting to pivot into a Bitcoin-treasury platform while keeping its media business as a separate segment. Its latest operating update showed the advertising business still functioning, but the announced Metaplanet transaction is designed to fundamentally change the company’s capital base and strategy.
The shareholder vote removes a major closing condition, but does not complete the transaction. Stockholders approved all proposals tied to the Metaplanet investment, including issuance of up to 435,859,500 shares and the amended charter. 〔0〕 The filing still describes the investment as occurring “at closing,” so the business has approval to proceed, not the Bitcoin or the new ownership structure yet.
| Transaction item | Filing figure |
|---|---|
| Bitcoin contribution at closing | 2,100 BTC |
| Cash contribution at closing | $2.5 million |
| Bitcoin value at August 14 reference date | Approximately $132.1 million |
| Bitcoin value on October 16 | Approximately $170.0 million |
| Common shares issued to Metaplanet | 44,859,400 at $3.00 per share |
| Warrants potentially exercisable | Up to 381,000,000 shares |
| Warrant exercise-price range | $3.00 to $33.50 per share |
| Metaplanet lock-up | Five years |
The vote formalizes a control and capital-structure reset rather than creating a new operating result. The approved charter changes increase authorized common shares from 750 million to 1 billion and preferred shares from 10 million to 100 million, while the transaction gives Metaplanet significant governance rights and a path to control. The company also plans to rename itself Superplanet and adopt the SUPA ticker once the deal closes. 〔1〕
The separate two-Bitcoin purchase is real but strategically minor beside the proposed 2,100-Bitcoin contribution. Super League purchased two Bitcoin for an average of $81,444.82 each on October 16 as an initial treasury move. It signals commitment to the pivot, but it does not materially change the company’s economics unless the much larger Metaplanet transaction closes.
Bottom line: This is an expected approval of Super League’s transformation into a Metaplanet-backed Bitcoin treasury vehicle, not the transformation itself. The decisive next step is closing; until then, the existing advertising business remains the operating reality and the Bitcoin platform remains conditional.
