CONDUENT Inc (CNDT) · Oct 16, 2026 · Material agreement
$80M cyber settlement — $80M total monetary obligation, subject to court approval
Conduent’s cybersecurity settlement sets an $80 million total obligation, trading legal uncertainty for a material cash cost once approved.
Conduent is simplifying its portfolio and trying to rebuild growth and profitability through its ASCEND 2026–28 plan, but it remains financially pressured: the latest reported quarter showed a $116 million net loss and $228 million of cash at June 30, 2026.
The lawsuit now has a defined ceiling, but it is a meaningful cash charge. Conduent agreed to fund $80 million into a non-reversionary settlement fund, covering class-member recoveries, monitoring, legal fees, and administration, and described that amount as its total monetary obligation. Against the latest disclosed cash balance, that is roughly one-third of cash before any insurance recovery or other adjustments. (Condensed Consolidated Balance Sheets)
This reduces one major piece of cyber-liability uncertainty, but does not fully close the incident. Final approval would release Conduent, affected clients, and their affected customers from claims tied to the cyber incident. 〔0〕 However, the filing still flags possible government investigations, regulatory actions, other litigation, unexpected costs, and uncertainty around cyber-insurance recovery. The timing matters: this is not yet a final resolution. The agreement remains subject to Court approval, so the company has negotiated the outcome but has not eliminated execution risk or necessarily recorded the full economic effect in this filing. 〔1〕
Bottom line: This is a mixed business development: Conduent converts an open-ended cyber class-action risk into a known $80 million obligation, but the price is material for a company with limited cash and ongoing losses. The lawsuit was already known; the new information is the settlement amount and the path toward closure.
