$6.3B acquisition — All-cash $49.75 per share; approximately $6.3 billion transaction value
Varonis agreed to a $6.3 billion cash acquisition by Proofpoint, turning months of sale speculation into a signed deal but leaving closing risks.
Varonis is finishing a major shift from self-hosted software to SaaS while expanding into AI and data-security tools; its self-hosted products are scheduled to reach end-of-life by December 31, 2026, and its platform is being positioned as infrastructure for secure AI adoption. The filing changes that story from standalone execution to a sale. Proofpoint will acquire Varonis in an all-cash transaction valued at approximately $6.3 billion. Shareholders will receive $49.75 per share.
| Deal term | Filing detail |
|---|---|
| Consideration | $49.75 cash per share (Merger Agreement) |
| Transaction value | Approximately $6.3 billion (Press Release) |
| Premium to June 22, 2026 | 52% (Press Release) |
| Premium to September 1, 2026 | 17% (Press Release) |
| Expected closing | First half of 2027 (Press Release) |
| Company termination fee | $211.7 million (Merger Agreement) |
| Parent reverse termination fee | $423.3 million (Merger Agreement) |
This is more confirmation than surprise, but the signed terms are still meaningful. The filing itself says the price reflects a 52% premium to June 22, before initial sale rumors, and a 17% premium to September 1, before additional reports. That makes the event partly known: the market had already been primed for a potential sale, while the definitive agreement, exact price and financing commitments now replace speculation with a contractual path to exit.
The deal advances the strategic AI-security story, but transfers its execution to Proofpoint. Proofpoint plans to combine Varonis’ data and AI-security capabilities with its own communications, identity and data-protection products, potentially creating a broader platform. That is strategically coherent with Varonis’ current SaaS and AI push, but it is a post-close integration thesis rather than a new standalone operating commitment from Varonis. Until closing, the two companies remain separate. 〔0〕
Closing risk remains, although financing is not the obvious weak point. The transaction still requires shareholder approval, antitrust and other regulatory clearances, and satisfaction of customary conditions; the agreement includes a termination date of July 15, 2027, with a possible three-month regulatory extension. Parent and Merger Sub’s obligations are not subject to a financing condition, while Thoma Bravo has committed equity financing and debt financing commitments are in place. The CEO’s voting support covers only approximately 0.67% of outstanding shares, so it helps signal alignment but does not materially settle the shareholder vote. 〔1〕
Near-term disclosure will be lighter because management is prioritizing the transaction process. Varonis still plans to report third-quarter 2026 results on November 3, but it will not hold an earnings conference call. The next meaningful information will therefore be the Q3 release, followed by the proxy materials, shareholder vote and regulatory progress. 〔2〕
Bottom line: This is a signed and financed path to a cash exit, not a new operating inflection for Varonis. It validates the strategic value of its data-and-AI security platform, but the important question now is whether the $6.3 billion transaction closes on schedule and how Proofpoint integrates the business.
