$200M financing — 61.54M new shares at $3.25; cash runway expected into 2029
Recursion’s $200 million financing extends development runway while REC-4881 and REC-1245 deliver encouraging early data—but new shares add dilution.
Recursion is a clinical-stage AI drug-discovery company trying to turn its platform into a focused pipeline of internal medicines while using Sanofi and Roche/Genentech partnerships as outside validation. REC-4881 in FAP and REC-1245 in solid tumors were already the central near-term clinical programs, and additional 2026 data plus partner milestones were previously expected.
The financing materially improves execution capacity, but it is not free capital. Recursion priced 61.54 million new Class A shares at $3.25 for approximately $200 million of gross proceeds, with the deal expected to close October 16. 〔0〕 Combined with an estimated $561 million of cash, cash equivalents and restricted cash at September 30, the company says its resources should fund operating and capital needs into 2029. 〔1〕 The business benefit is clearer funding for REC-4881, REC-1245 and other pipeline programs; the offset is another large equity issuance after $86 million was raised through the ATM program during the quarter. (Preliminary cash update)
| Filing item | Latest figure | What it changes |
|---|---|---|
| Underwritten offering | $200M gross; 61.54M shares at $3.25 | Extends funding, increases share count (Pricing release) |
| Cash and restricted cash | ~$561M at September 30, 2026 | Preliminary balance before the offering (Preliminary cash update) |
| REC-4881 total polyp burden | 47% median reduction after 12 weeks | Reproduces the prior efficacy signal in a larger adult population (Business update) |
| REC-4881 durability | 85% below baseline after 12 weeks off treatment | Strengthens the case for durable or flexible dosing (Business update) |
| REC-1245 disease control | 91.7% at doses of at least 45 mg; 11/12 patients | Supports expansion at 45 mg, but remains early Phase 1 evidence (Business update) |
| Sanofi milestone | $10M; $144M total upfront and milestones | Validates partner progression and adds near-term revenue (Sanofi release) |
REC-4881 is the strongest operational proof point in the release. In the small, single-arm TUPELO dataset, 87% of 16 efficacy-evaluable patients reduced total polyp burden, while the median reduction rose to 47% from the previously reported 43%. 〔2〕 The clinically important detail is upper-GI activity: 92% of 13 evaluable patients responded, nearly half achieved at least a 65% reduction, and two achieved at least 98% reductions. That directly addresses the part of FAP where surgery and repeated procedures are most problematic. The 85% below-baseline result after 12 weeks off treatment is also more meaningful than another short-term response rate because it supports the company’s argument for chronic-disease dosing flexibility. 〔3〕
The REC-4881 story advances, but it has not yet crossed into registration certainty. The dataset remains small, uncontrolled and subject to FDA agreement on the registrational design; management is targeting a registrational trial in 2027 pending those discussions. The next concrete validation point is the full dataset presentation at the CGA-IGC meeting on November 2, followed by the promised FDA update. This is better than the standing expectation of simply receiving more Phase 2 information, but it is still a regulatory-pathway story rather than a late-stage clinical result.
REC-1245 provides a credible second clinical leg, with a clear dose-limiting caveat. At doses of 45 mg or higher, 11 of 12 efficacy-evaluable patients achieved disease control at eight weeks, including two confirmed partial responses in endometrial cancer and one unconfirmed response in hepatocellular carcinoma. 〔4〕 Selecting 45 mg for expansion is constructive because the cohort had no dose-limiting toxicities or serious treatment-related adverse events. But the higher 65 mg dose exceeded the tolerability limit, with three of four dose-escalation patients experiencing dose-limiting toxicities. 〔5〕 So the read-through is promising activity with a workable dose, not proof that the molecule has solved its therapeutic-window problem.
The Sanofi option is meaningful platform validation, though much of its direction was already expected. Sanofi has taken the first development candidate from the multi-program collaboration, will fund and lead further development, and triggered a $10 million milestone that brings cumulative upfront and milestone payments to $144 million. This advances Recursion’s business model from merely producing discovery programs to handing a partner a candidate ready for Phase 1, while eliminating Recursion’s operational obligations for that asset. The economics remain back-ended: more than $300 million of additional milestones and royalties are possible, but depend on Sanofi’s development decisions and eventual approval.
Bottom line: This is a financing-led reset that gives Recursion enough capital to pursue its most credible clinical programs, while the new REC-4881 data strengthen the company’s lead asset and Sanofi’s option adds external validation. The business story improves, but the price is substantial new equity and the clinical evidence remains early enough that execution and regulatory follow-through still matter more than the headline numbers.
