The RealReal refinancing cuts interest and extends debt to 2033

Debt refinanced — $150M term loan plus $25M revolver; secured maturity extended to October 2033

The RealReal’s new debt refinancing replaces costly 2029 notes, lowers annual interest by about $4 million, and adds liquidity—but tighter covenants remain.

The RealReal is in a growth-and-margin expansion phase: Q2 2026 GMV rose 22%, revenue rose 17%, and Adjusted EBITDA margin reached 7.0%, prompting higher full-year guidance. This filing addresses the balance-sheet side of that story by refinancing expensive secured debt before the company’s next maturity pressure point.

The refinancing materially improves near-term debt service. The company is replacing its 2029 notes’ 13.00% combined cash-and-PIK cost with a new term loan initially priced at SOFR plus 5.75%, payable entirely in cash. The filing says the transaction is expected to reduce annual total interest expense by approximately $4 million in the first year.

The maturity extension removes a meaningful refinancing overhang. The new facilities mature in 2033, extending secured debt by roughly four years and eliminating the potential December 2027 springing maturity attached to the old notes. 〔0〕 That gives the operating turnaround more time to convert higher GMV and EBITDA into cash flow instead of forcing an earlier debt event.

This is balance-sheet relief, not deleveraging by itself. The company is refinancing $150 million of secured debt rather than paying it down, and the new lenders receive a first-priority lien on substantially all company assets. The agreement also imposes leverage and liquidity tests, restricts additional debt and acquisitions, and preserves a springing maturity if at least $25 million of the 2031 convertible notes remains outstanding near its maturity. The revolver adds $25 million of availability, but the company still has to execute its planned EBITDA growth and future convertible-note strategy.

The transaction is not fully closed yet. Funding and redemption of the 2029 notes are expected on or about October 19, 2026, subject to conditions. 〔1〕

Bottom line: This is a meaningful improvement to The RealReal’s financing runway and cash-interest burden, giving its operating improvement more time to work. It does not reduce the core debt balance and leaves the company dependent on continued EBITDA growth to meet the new covenants and address later convertible maturities.
