Verastem, Inc. (VSTM) · Oct 14, 2026 · Share issuance
$250M equity financing — 31.25M shares/warrants at $8.00 per share; ~$250M gross implied
Verastem’s new equity offering should fund VS-7375 development and working capital, but adds roughly 31.25 million shares before expenses.
Verastem is moving from launching AVMAPKI FAKZYNJA CO-PACK in ovarian cancer toward funding a broader oncology pipeline, especially VS-7375, its investigational KRAS G12D inhibitor. The company is running three registration-directed Phase 2 trials for VS-7375 and expects to complete enrollment by the end of 2026, while its confirmatory RAMP 301 ovarian-cancer trial is aimed at a mid-2027 readout.
The financing materially strengthens the near-term funding position. Verastem is selling 30,937,500 common shares plus pre-funded warrants for another 312,503 shares, at approximately $8 per share, implying roughly $250 million of gross proceeds before underwriting costs. 〔0〕 The stated use is continued clinical development, including VS-7375, plus working capital and general corporate purposes.
| Offering term | Amount |
|---|---|
| Common shares sold | 30,937,500 |
| Shares underlying pre-funded warrants | 312,503 |
| Total potential shares | 31,250,003 |
| Offering price | $8.00 per share-equivalent |
| Gross proceeds implied by terms | Approximately $250 million |
The trade-off is substantial equity dilution. Verastem had 90.6 million common shares outstanding as of August 3, 2026; the new securities represent roughly 34% additional shares versus that base, or about 26% of the post-offering share count before other dilution. The pre-funded warrants carry only a $0.0001 exercise price and do not expire, so they function economically much like near-term share issuance.
This addresses a real financing need rather than funding a routine expansion. As of June 30, 2026, Verastem had $136.4 million in cash, cash equivalents and investments and had disclosed substantial doubt about its ability to continue as a going concern without additional capital. The raise therefore buys meaningful runway for commercial operations and the VS-7375 trials, but it does not reduce the clinical or regulatory risk attached to those programs.
Bottom line: The offering is strategically useful because it funds Verastem’s next development phase and relieves a clear capital constraint. It is still a mixed event because shareholders pay for that runway through roughly one-third more potential shares, with no new clinical result in this filing.
Offering expected to close October 15, 2026
