2029 notes retired — $931.6M tendered; $68.4M redeemed
Sabre’s debt refinancing is now complete: nearly all 2029 notes were tendered, with the remainder redeemed as planned.
Sabre is simplifying around its core travel-technology business while pursuing an AI-focused product transition and extending its debt maturities. The company has already been using refinancing and asset-sale proceeds to reduce near-term financial pressure, so this filing completes a previously announced liability-management plan rather than introducing a new strategic direction.
The 2029 maturity has effectively been eliminated. Holders tendered $931.583 million, or approximately 93.16% of the outstanding 11.125% senior secured notes, and Sabre redeemed the remaining $68.417 million on October 13, 2026.
| Item | Amount / terms |
|---|---|
| 2029 notes tendered | $931.583 million (Item 8.01) |
| Share of notes tendered | 93.16% (Item 8.01) |
| Remaining notes redeemed | $68.417 million (Item 8.01) |
| Redemption price | 109.250% of principal, plus accrued interest (Item 8.01) |
This is balance-sheet housekeeping, not a fresh surprise. The tender offer, financing, and planned redemption had already been disclosed; the new information is the final participation rate and confirmation that no notes remained outstanding after settlement. Sabre therefore gains certainty around the 2029 debt wall, but the filing does not by itself improve operating momentum or change the company’s AI and travel-distribution execution challenge.
The cost is known and contained. The remaining notes were redeemed at 109.250% of principal, so Sabre paid a premium to finish the cleanup.
Bottom line: Sabre has completed the planned retirement of its 2029 notes, removing a meaningful maturity deadline. It matters for financial flexibility, but because the transaction was already announced, the filing is confirmation rather than a material change to the broader business story.
