$320.4M net settlement — $330.4M received less $10.0M paid
United Therapeutics’ settlement with Liquidia secures $330.4M in payments, removes Yutrepia’s PH-ILD indication, and preserves PAH competition.
United Therapeutics is defending its Tyvaso and Tyvaso DPI inhaled-treprostinil franchise against Liquidia’s Yutrepia, which launched in June 2025 as a direct competitor. The September 30, 2026 court ruling had already established the strategic direction: Liquidia was found to infringe United Therapeutics’ PH-ILD patent, putting Yutrepia’s PH-ILD label at risk.
The settlement converts that legal win into cash and a durable commercial restriction. Liquidia must pay United Therapeutics $185.0 million for past sales and another $145.4 million for prospective PH-ILD damages, while United Therapeutics pays Liquidia $10.0 million to resolve the separate RareGen/Sandoz litigation. 〔0〕 〔1〕 That is $320.4 million of net contractual cash to United Therapeutics before considering timing and any accounting treatment.
| Settlement cash item | Amount | Timing / comparison |
|---|---|---|
| Liquidia payment for past PH-ILD sales | $185.0M | Within 30 business days of execution |
| Prospective PH-ILD payment | $145.4M | Two $72.7M installments due by January 31 and April 30, 2027 |
| United Therapeutics payment to Liquidia | $(10.0M) | Within 30 business days of execution |
| Calculated net cash commitment to United Therapeutics | $320.4M | $330.4M received less $10.0M paid |
The more important business effect is the removal of Yutrepia from the PH-ILD fight. Liquidia must amend Yutrepia’s FDA label to remove PH-ILD, stop promoting and selling the infringing version after approval, and end PH-ILD-related marketing and trial activities. 〔2〕 〔3〕 That protects Tyvaso’s position in PH-ILD more directly than the cash does.
This is not a complete competitive victory. Yutrepia remains commercially viable for PAH, and United Therapeutics gives Liquidia a covenant not to sue that product for PAH while Liquidia agrees not to challenge the covered United Therapeutics patents. The settlement therefore removes the PH-ILD threat and ends costly litigation, but leaves an ongoing PAH rival in the market.
Execution still depends on performance rather than signature alone. The releases and dismissals do not become effective until the payments are made, Liquidia obtains FDA approval for the label change, provides its cessation declaration, and the covered cases are dismissed; the letter of credit requirement reduces, but does not eliminate, payment risk.
Bottom line: This materially strengthens United Therapeutics’ Tyvaso franchise by monetizing the court victory and taking Yutrepia out of PH-ILD. The remaining issue is that Liquidia still competes in PAH, so the settlement narrows the threat rather than eliminating it.
