Universal credit amendment eases leverage covenant amid business strain

Leverage covenant eased — 3.75x for September and December 2026, versus 3.00x previously

Universal’s credit amendment gives it temporary leverage headroom, signaling that weaker ingredients performance is pressuring covenant capacity.

Universal is trying to grow its ingredients platform while stabilizing its tobacco business, but recent results have shown weaker ingredients demand, high fixed costs at its expanded Lancaster facility, and softer tobacco profitability.

The amendment is covenant relief, not fresh strategic financing. Universal and its lenders changed the credit agreement effective September 30, 2026, but the filing does not disclose a larger facility, new borrowing, or a maturity extension. The underlying structure remains a $780 million revolver, $275 million five-year term loan, and $345 million seven-year term loan, with maturities of December 9, 2030 and December 9, 2032. The key change is more room under the leverage test for the next two quarters. The amended agreement permits a Total Net Leverage Ratio of 3.75-to-1.00 for the quarters ending September 30 and December 31, 2026, then steps down to 3.25-to-1.00 for March 31, 2027 and 3.00-to-1.00 thereafter. (Section 5.07 — Financial Covenants) 〔1〕 This is meaningful because the original December 2025 agreement set a 3.00-to-1.00 ceiling, so lenders are now accommodating a temporarily weaker earnings-to-debt profile.

This avoids an immediate covenant squeeze, but it also confirms the pressure rather than removing it. Universal’s fiscal 2026 results included a $41.1 million goodwill impairment tied to Shank’s, elevated inventory write-downs, and weaker-than-expected ingredients sales growth; first-quarter fiscal 2027 operating income also fell as tobacco mix weakened and ingredients continued to carry high fixed costs. The filing’s representation that “no Default or Event of Default has occurred and is continuing” 〔2〕 means this is preventive relief, not a reported breach.

The market signal is therefore mixed in mechanics but negative in diagnosis. Lenders are still supporting the facility, and Universal buys time to improve earnings and reduce leverage; however, requiring temporary covenant headroom makes the company’s current operating recovery more important to the credit story than it was before.

Bottom line: Universal has not lost access to its financing, but it needed lenders to relax leverage limits because the business is not yet generating the earnings cushion originally assumed. The amendment matters as an early warning on balance-sheet flexibility, not as a new source of growth capital.
