$464M acquisition — $392M enterprise value; more than $200M projected synergies
SSR Mining’s acquisition of Roxmore adds the adjacent Converse gold project to Marigold for about $464 million, with major development still years away.
SSR Mining is a free-cash-flow-focused gold producer using Marigold as a core Nevada operating platform while advancing longer-dated growth projects. Marigold is an established open-pit heap-leach mine, and the company’s existing strategy already emphasizes growth around its operating assets and disciplined capital returns.
This is a strategically coherent bolt-on, not a generic exploration bet. SSR is buying Roxmore’s Converse project, located roughly six kilometers from Marigold, and intends to evaluate it as an extension of the broader complex. 〔0〕 The proximity creates a credible path to shared infrastructure and operating efficiencies, with the company estimating more than $200 million of life-of-mine synergies versus standalone development.

The headline production opportunity is meaningful, but management is underwriting a smaller and more conservative project than Roxmore’s PEA. SSR sees potential for 150,000–170,000 ounces of average annual production, but says it would develop Converse at reduced annual ore tonnage using a $2,200-per-ounce pit shell rather than Roxmore’s $3,000-per-ounce shell. 〔1〕 〔2〕 That makes the transaction’s strategic logic more durable than simply accepting Roxmore’s larger headline case, although it also means the acquired production profile is not yet established.
The deal is funded without immediate development spending, but the asset remains several milestones away from becoming a mine. SSR plans to fund the cash component from its existing balance sheet and says no material development spending is expected until the early 2030s. 〔3〕 Converse still requires federal permitting, environmental baseline work and an expected Environmental Impact Statement, while closing itself depends on securityholder and court approval. 〔4〕
The transaction is not merely a confirmation of an already scheduled event. Roxmore’s Converse resource, drilling program and preliminary economic assessment were already public, but SSR’s acquisition converts that standalone developer story into a potential Marigold-centered growth pipeline. Roxmore directors, executives and major shareholders representing approximately 26.8% of the shares have committed to support the deal, reducing—but not eliminating—closing uncertainty. 〔5〕
Bottom line: SSR is buying a nearby, potentially high-value Nevada growth asset that fits its Marigold infrastructure and operating expertise. The strategic fit is positive, but the financial payoff is long dated and still depends on closing, permitting and a future development decision.
