$1.1B financing — $544.3M equity proceeds + $558.7M debt proceeds
Vaxcyte’s financing closes with $544.3M equity and $558.7M convertible-debt proceeds, funding late-stage VAX-31 work but adding dilution and debt.
Vaxcyte is a clinical-stage vaccine company moving VAX-31 through its adult Phase 3 program while building manufacturing capacity and preparing for potential commercialization; OPUS-1 topline data is expected by the end of October 2026.
The key change is funding, not new clinical evidence. The concurrent offerings generated approximately $1.103 billion of net proceeds: $544.3 million from equity and $558.7 million from convertible notes. This materially strengthens the balance sheet for Phase 3 execution, manufacturing scale-up and commercial readiness, but the equity leg increases the share base and the debt leg creates a future repayment or conversion obligation.
| Financing component | Terms / proceeds |
|---|---|
| Equity offering | 8,584,375 shares plus 400,000 pre-funded warrants at $64.00 per share or warrant (Item 8.01 — Other Events) |
| Convertible notes | $575.0 million principal, 1.50% due October 2032; initial conversion price approximately $89.60 per share (Item 1.01 — Material Definitive Agreement) |
| Net equity proceeds | $544.3 million (Item 8.01 — Other Events) |
| Net debt proceeds | $558.7 million (Item 8.01 — Other Events) |
| Total net proceeds | Approximately $1.103 billion |
The financing is strategically well timed but not a surprise. Vaxcyte announced the offerings on October 6, exercised both overallotment options on October 7, and closed them on October 9; the filing mainly confirms completion and final proceeds rather than introducing an unexpected capital plan. The 1.50% coupon is relatively low-cost funding, while the roughly $89.60 conversion price sits above the $64.00 equity-offering price, limiting immediate conversion pressure but leaving potential future dilution if the company succeeds.
The event buys execution time before the next value-defining test. Vaxcyte already had substantial liquidity, including $2.5 billion of cash, cash equivalents and investments at June 30, 2026, so this is less a rescue financing than an effort to pre-fund the expensive transition from late-stage trials toward manufacturing and launch preparation. The business signal is therefore constructive for execution capacity, but the financing itself does not reduce the clinical risk around VAX-31.
Bottom line: Vaxcyte has locked in more than $1.1 billion to advance VAX-31 and its commercial buildout, but the filing confirms a previously telegraphed raise rather than delivering new product evidence. It strengthens funding visibility while adding dilution and debt ahead of the imminent OPUS-1 readout.
OPUS-1 topline data, expected by end of October 2026
