$4.1M acquisition — 100% of Hexa for $4.12M, plus a 5% change-of-control fee
XMax’s acquisition adds 1200V GaN semiconductor technology to its AI strategy, but Hexa has no employees, no operating business, and remains pre-commercial.
XMax is transitioning from its furniture base into AI software, inference infrastructure and GPU-related services; that AI expansion was already public before this filing. This deal pushes the strategy down into hardware. XMax is acquiring Hexa to extend its AI ambitions into power infrastructure, specifically a 1200V vertical gallium-nitride platform aimed at AI data centers, electric vehicles, storage and fast charging. The company says, “XMax is acquiring Hexa Creation to extend its AI strategy into power infrastructure for AI computing and other high-voltage applications.” 〔0〕
The strategic direction is credible, but the asset is early-stage rather than revenue-producing. Hexa has an exclusive license to university-owned intellectual property, but the agreement describes a company with no employees, no material contracts beyond that license and no operating assets identified beyond the licensed technology. “The Company has no employees and has never had any employees.” 〔1〕 That makes this an investment in technology development and commercialization, not an acquisition of an established semiconductor business.
The purchase price creates a meaningful funding commitment before proof of demand. XMax will pay $4.12 million for all of Hexa, with roughly half deferred until December 31, 2027 and carrying interest. It also bears a 5% change-of-control payment to the licensor—about $206,000 based on the disclosed transaction value—bringing the stated consideration plus that fee to roughly $4.33 million before deferred interest. The agreement states that the change-of-control payment is “in the amount of 5% of the Transaction Valuation of $4,123,711.34.” 〔2〕
The filing improves XMax’s AI-power narrative, but does not yet validate the business. The 1200V target is positioned beyond much of today’s commercial GaN market, and the broader power-GaN opportunity is described as fast-growing; however, the filing gives no customers, production plan, revenue, manufacturing partner, or commercialization milestone. Completion is also conditional, with closing allowed to slip until April 5, 2027, and XMax risks losing its $500,000 deposit if it materially breaches the agreement.
Bottom line: This is a new and more ambitious extension of XMax’s already-public AI pivot, but the company is buying a licensed, pre-commercial technology platform rather than an operating chip business. The strategic story gets broader; the near-term business contribution remains unproven.
Acquisition closing targeted by April 5, 2027
