Covenant relief — Leverage caps relaxed for Q3–Q4 2026, with higher interest and new restrictions
Dentsply Sirona’s debt amendment loosens 2026 leverage covenants, but adds interest costs, spending limits and tougher lender reporting.
Dentsply Sirona is in the middle of a turnaround: it is cutting costs, redirecting investment toward connected dental technology and using capital to reduce debt after eliminating its dividend. Its second-quarter update still reiterated 2026 guidance and described progress in strengthening the financial foundation.
The filing is a credit-pressure signal, not a new funding event. The company secured lender consent to amend its revolving facility and three private note agreements, but it does not disclose fresh borrowing or additional liquidity. 〔0〕
The immediate benefit is more room to remain compliant through year-end. Lenders agreed to raise the maximum total and senior leverage ratios for the quarters ending September 30 and December 31, 2026, while allowing an additional EBITDA addback for certain cash costs. 〔1〕
That relief comes with tighter control and a higher cost of debt. The amendments restrict new liens, subsidiary debt and some distributions, require extra quarterly reporting on initiatives and savings, and increase interest when leverage crosses specified thresholds. 〔2〕
The key change versus the standing story is that the turnaround now has less margin for execution error. Earlier 2026 communications emphasized cost savings, debt reduction and improving liquidity; this amendment shows lenders are requiring formal covenant headroom and monitoring while those initiatives are still being delivered. That makes the filing worse than the prior “strengthening financial foundation” narrative, even though it may reduce near-term default risk.
Bottom line: This buys Dentsply Sirona time to execute its restructuring, but confirms that leverage remains a live constraint. It matters because the turnaround is now operating under lender-imposed limits and potentially higher financing costs, not simply management’s plan.
