MFA executive change sets insider CEO succession as costs rise

CEO succession — Wulfsohn becomes CEO July 1, 2027; Knutson retires June 30, 2027

MFA’s executive change creates an orderly 2027 CEO handoff to Bryan Wulfsohn, while new contracts raise fixed and incentive compensation.

MFA is a specialty-finance REIT built around residential whole loans, mortgage-backed securities and its Lima One business-purpose lending platform; its results remain sensitive to mortgage credit, financing costs and loan origination volumes.

The succession plan is orderly rather than disruptive. CEO Craig Knutson will retire on June 30, 2027, remain a director subject to shareholder election, and hand the CEO role to current President and CIO Bryan Wulfsohn on July 1, 2027. 〔0〕 〔1〕 Because Wulfsohn has been with MFA since 2010 and has already overseen portfolio selection, funding and Lima One-related responsibilities, the filing reduces the risk of a sudden strategy reset rather than announcing a new direction.

The operating bench is being refreshed, not merely reshuffled. Andrew Kail joins as CIO on January 1, 2027, giving Wulfsohn a dedicated investment successor while adding an outside mortgage-finance executive with experience at Starwood Capital, Aspen Capital, Fortress, RBS and Bear Stearns. 〔2〕 That matters because Wulfsohn’s current remit spans both CEO preparation and investment management; separating those jobs should make the transition more executable.

The trade-off is a heavier contractual cost base. Wulfsohn’s 2027 target cash bonus rises to $1.7 million and his annual equity targets total $2.9 million, while the CFO receives $1.25 million of target cash bonus plus $1.25 million of equity grants. Knutson’s 2027 equity awards are cut 50% from 2026, but the filing does not eliminate his remaining salary, bonus or retirement-related contractual terms. The commitments are performance-linked in part, but they still raise the cost of maintaining leadership continuity before any operating benefit is demonstrated.

Bottom line: This is a credible, internally developed succession plan that protects MFA’s current mortgage-investment strategy and strengthens the investment bench. It matters strategically, but the near-term read is mixed because the continuity benefit comes with substantial new compensation obligations and no immediate change to earnings or portfolio performance reported here.
