Debt repriced — SOFR +5.00% from +5.75%; maturity extended to December 31, 2030
TETRA’s credit agreement amendment lowers borrowing costs, extends maturity and delays amortization—improving funding flexibility for its Arkansas bromine project.
TETRA is using its specialty-chemicals base business to build an Arkansas bromine facility, aiming to secure feedstock for deepwater completion fluids and zinc-bromide battery electrolytes while reducing reliance on third-party suppliers. The project has a substantial remaining funding requirement—about $220 million as of March 31, 2026—and is expected to begin production in early 2028.
The amendment materially improves project-funding flexibility. TETRA cuts the term loan’s spread by 75 basis points, pushes maturity out nearly a year, and removes scheduled amortization until June 30, 2028. 〔0〕 〔1〕 〔2〕 That lowers near-term cash demands while TETRA is spending heavily to complete the bromine plant.
This is better than the pre-filing financing setup, though not a surprise that financing would be adjusted. TETRA had already approved the project’s final investment decision subject to finalizing financing, and its broader plan called for a mix of operating cash, credit facilities and other capital sources. The new information is the favorable pricing and repayment relief—not the need for additional financing itself.
The trade-off is tighter linkage between the project and the debt. TETRA Bromine Project LLC must now become a guarantor, and the amendment changes covenant baskets, so lenders receive additional credit support and flexibility around restrictions. 〔3〕 The filing does not disclose enough detail to judge whether the covenant changes are restrictive or permissive overall.
Bottom line: This amendment strengthens the financing runway for TETRA’s central bromine build by lowering cost and postponing cash repayments. It advances the project story, but the next proof point remains construction progress toward mechanical completion by the end of 2026.
