FatPipe refinancing adds $1.5M liquidity but tightens flexibility

$6M credit facilities — $4.5M term loan refinancing plus $1.5M revolver; expected borrowing-rate reduction of ~110 bps

FatPipe’s new credit facilities lower borrowing costs and add a revolving line, but broad collateral pledges and covenants constrain flexibility.

FatPipe is expanding a secure SD-WAN and cybersecurity platform while building distribution through enterprise, service-provider and public-sector channels. Against that backdrop, this filing is mainly a balance-sheet reset—not a new operating milestone.

The refinancing modestly improves cash economics. FatPipe replaced its Fortis Bank SBA loan with a $4.5 million KeyBank term loan and expects roughly a 110-basis-point reduction in its annual borrowing rate; about $4.47 million of proceeds immediately repaid the old debt. 〔0〕 The benefit is real, but variable-rate SOFR exposure means the eventual savings are not fixed.

The revolver gives FatPipe more operating liquidity, but it is not free flexibility. The $1.5 million line can support working capital, yet it matures in roughly one year and remains subject to KeyBank’s conditions for advances. The company also grants security interests over substantially all personal property—including intellectual property—and its subsidiary provides an unlimited continuing guarantee. 〔1〕

The main business implication is tighter financial guardrails. FatPipe must meet quarterly leverage and fixed-charge coverage tests, while the agreements restrict additional debt, acquisitions, asset sales, dividends and share repurchases. Those restrictions are manageable if operating growth continues, but they reduce room to pursue acquisitions or return capital while the company scales.

Bottom line: This is a modestly constructive financing action with a meaningful constraint attached: lower borrowing costs and added working-capital capacity, secured by broad collateral and tighter operating rules. It improves funding mechanics more than it changes FatPipe’s underlying growth story.
