Debt refinanced — $357.7M new term facility; term SOFR margin cut to 2.50% from 3.00%
Magnite’s debt refinancing lowers term-loan and revolver pricing, modestly improving financing costs without adding meaningful new operating capital.
Magnite is an independent sell-side advertising platform repositioning around connected TV and streaming, with CTV serving as its main growth engine; Q2 2026 revenue rose 11% year over year to $192.8 million, while the company has highlighted continued advertiser migration toward streaming.
The filing improves the financing side of that growth story. Magnite repriced both its revolving facility and term loans, replacing the prior term-loan tranche with a new Amendment No. 3 facility. 〔0〕
| Financing item | Prior terms | New terms | Filing location |
|---|---|---|---|
| Term loan, Term SOFR margin | 3.00% | 2.50% | Applicable Margin |
| Term loan, ABR margin | 2.00% | 1.50% | Applicable Margin |
| Revolver, initial Term SOFR margin | 3.75% | 2.50% | Applicable Margin |
| Revolver, initial ABR margin | 2.75% | 1.50% | Applicable Margin |
| New term facility | — | $357.7 million | Exhibit D, Schedule 2.01 |
The economic signal is positive, but this is not fresh growth capital. The new term loans primarily refinance existing debt: converting lenders roll their loans over cashlessly, while new-lender proceeds repay loans that do not convert and cover accrued interest and transaction expenses. 〔1〕 That lowers the cost of carrying Magnite’s debt but does not materially expand its ability to invest in the CTV platform.
The repricing was partly anticipated rather than a surprise rescue financing. The filing references a lender memorandum dated September 28, 2026, and all revolving lenders consented, so the direction was already known; the new information is the finalized pricing, lender allocation, and $357.7 million facility size. 〔2〕
The filing is internally messy, so the exact balance-sheet change deserves caution. Several pages appear to contain corrupted references to “Amendment No. 23” and “Amendment No. 12,” while Exhibit D clearly identifies the final Amendment No. 3 commitments as $357,729,622.05. The clean takeaway is lower stated spreads and a completed refinancing—not a clearly disclosed reduction in total leverage.
Bottom line: This is a modestly positive capital-structure event: Magnite should carry its existing debt more cheaply, but the filing does not change the underlying CTV growth story or provide substantial new operating funding.
