Hyperscaler backstop — Hyperscaler covers approximately 90% of equipment-contract payments through March 31, 2027
BKV’s new power project takes a meaningful step forward: a hyperscaler covers about 90% of near-term equipment payments, but the offtake deal remains unsigned.
BKV is shifting from a primarily upstream gas producer into an integrated Texas gas-to-power and carbon-capture platform, targeting the rapidly expanding demand from data centers and other large power users. Its prior disclosures already pointed to a power-growth strategy, turbine capacity reservations and ongoing discussions for a long-term power purchase agreement, so the direction was not a surprise.
The project has moved from planning toward procurement. BKV has now executed a contract for gas-fired generation equipment, including turbines, heat-recovery steam generators and control systems. (Press release) That matters because long-lead equipment is often a gating item for bringing new generation online on a hyperscaler’s timetable.
The hyperscaler backstop materially limits BKV’s near-term funding exposure. The intended customer has agreed to reimburse part of the equipment and project-work costs, covering approximately 90% of BKV’s required payments through March 31, 2027. 〔0〕 (Press release) This is a meaningful improvement over BKV committing fully at risk to expensive equipment before securing a customer.
This is not yet a contracted power sale. The hyperscaler is only described as the intended off-taker, and the filing does not identify it or disclose project capacity, total equipment cost, final economics or a binding offtake agreement. 〔1〕 (Press release) If mutually acceptable offtake terms are not reached by March 31, 2027, BKV can terminate the equipment contract without further payment obligations. 〔2〕 (Press release)
Bottom line: This is incremental but real progress on BKV’s power expansion: equipment is being secured while most near-term payment risk is backstopped. The business story improves, but the project still needs a definitive offtake agreement before it becomes a fully committed growth asset.
Mutually agreeable offtake arrangements by March 31, 2027
