Sysco Corp (SYY) · Oct 6, 2026 · New debt
$14.65B USD debt raised — $10.75B senior notes plus $3.9B junior subordinated notes; €1.0B additional
Sysco’s new debt financing largely funds the pending JRD acquisition, but the 5.45%-7.35% coupons add a substantial fixed-cost burden.
Sysco is expanding from traditional foodservice distribution into Jetro Restaurant Depot’s cash-and-carry channel, a deal management says would add roughly 20% to revenue and 45% to adjusted EBITDA while serving smaller independent restaurants. This filing turns the acquisition’s financing plan into committed capital. Sysco issued $10.75 billion of senior notes, $3.9 billion of U.S. junior subordinated notes, and €1.0 billion of euro junior subordinated notes. The proceeds are explicitly earmarked for the pending JRD transaction or, if it fails, mandatory redemption of most of the notes. 〔0〕

The direction was already expected, but the cost is now concrete. Sysco had already announced the JRD acquisition, its $21.6 billion cash component, and a plan to prioritize deleveraging after closing, so the fact that the deal would require substantial new borrowing is not a surprise. What is new is the final funding mix: the senior notes carry 5.45%-6.60% coupons, while the junior securities carry 7.10%-7.35% coupons and allow interest deferral. On the stated coupons, the USD notes imply roughly $923 million of annual cash interest before resets or deferrals, plus about €60 million on the euro notes.
The financing supports the strategic expansion but raises execution pressure. The junior debt is structurally below the senior notes, which helps protect senior creditors but does not remove the economic burden for Sysco; the company has still committed to a large, long-dated interest bill before realizing the promised JRD growth and synergy benefits. The filing itself does not update leverage, closing timing, synergies, or the expected post-close deleveraging path.
Bottom line: This is an important funding milestone, not a new strategic surprise. It makes the JRD acquisition more executable, but at a meaningful financing cost that increases the importance of closing on time and delivering the deal’s promised cash flow and synergies.
