OpenText is reshaping its capital structure while investing in enterprise data management and AI, with debt reduction explicitly part of its fiscal 2027 capital-allocation plan. The tender offer was already known; this amendment changes its scale rather than the strategy.
The debt paydown is now materially smaller. OpenText cut the maximum amount of 3.875% 2028 notes it will accept from $450 million to $300 million. Relative to the plan announced two days earlier, that means less near-term refinancing and less reduction of the 2028 maturity, while preserving more cash or financing capacity for other uses.
The timing shift is administrative, not a new strategic signal. Withdrawal, pricing, and expiration deadlines all move from September 29 to September 30, with settlement expected October 2. 〔0〕 The important change is therefore the lower cap, not the one-day extension.
Bottom line: This is a modest step back from OpenText’s previously announced debt-reduction plan, though not a reversal of the refinancing effort. The company is still retiring some 2028 debt, but less than initially intended.
