FB Financial is a regional bank using FirstBank to accelerate loan and deposit growth across Tennessee, Kentucky, Alabama and Georgia; second-quarter 2026 loan growth was 11.6% annualized and deposit growth was 7.7%, while capital ratios remained above regulatory requirements.

The offering funds that growth plan, but does not change it. FB Financial completed a $125 million subordinated note issuance, with proceeds intended for general corporate purposes, including providing capital to FirstBank. 〔0〕

The trade-off is a meaningful funding cost and lower-ranking debt. The notes pay 6.625% through September 2031, then reset to three-month Term SOFR plus 205 basis points; they are unsecured, subordinated obligations and structurally behind FirstBank’s depositors and other subsidiary creditors. 〔1〕

There is little surprise value in the completion itself. The prospectus supplement was filed on September 23, 2026, one day before the notes were issued, so the market had already been alerted to the transaction; this filing mainly confirms that the capital raise closed.

Bottom line: The deal strengthens FB Financial’s capacity to support FirstBank’s expansion, but it is a scheduled financing with a high coupon—not a new strategic catalyst.
