Hyperliquid Strategies is a digital-asset treasury company building exposure to Hyperliquid’s HYPE token through equity financing and token accumulation; recent filings describe roughly $646.6 million raised through its equity facility and about 29.4 million HYPE held as of late August.
The amendment improves the economics of future capital raises. For regular and intraday VWAP purchases, Chardan will now pay 98.5% of VWAP, while off-hours purchases will be priced at 97.0%. 〔0〕 That is better for PURR than the prior 97.5% and 95.0% discounts, meaning the company should receive more cash for each share issued if it draws on the facility.
| Purchase type | Prior pricing | New pricing |
|---|---|---|
| Regular / intraday VWAP | 97.5% of VWAP | 98.5% of VWAP |
| Off-hours VWAP | 95.0% of VWAP | 97.0% of VWAP |
This is an optimization, not a new funding commitment. The larger $2.5 billion facility was already disclosed through the September 1 amendment; today’s filing changes the price mechanics rather than adding fresh capital or proving that Chardan has purchased shares. 〔1〕
The trade-off is still equity dilution. PURR retains a more efficient way to fund additional HYPE purchases, but every draw continues to create newly issued shares; the amendment makes that dilution less expensive for the company, not immaterial for existing holders.
Bottom line: This is a modest improvement to PURR’s financing toolkit, not a change in its HYPE-treasury strategy. It matters mainly because future equity raises can now be executed at a smaller discount to market prices.
