The known litigation risk has now become a quantified cash hit. The lawsuit was already public and trial was scheduled for October 27, 2026, but the filing newly locks in a $120 million settlement, including $85 million of near-term cash and a $35 million advance against future participation payments. 〔0〕
| Metric | Before filing | After filing |
|---|---|---|
| 2026 free cash flow guidance | ~$220M | ~$150M |
| Cash settlement payment | — | $85M by September 18, 2026 |
| Additional settlement consideration | — | $35M by January 31, 2027 |
| Settlement charge | — | ~$85M in Q3 2026 |
| Revenue outlook | Unchanged | Unchanged |
| Adjusted operating income outlook | Unchanged | Unchanged |
The main expectation miss is cash generation, not operating earnings. Free cash flow guidance falls by approximately $70 million, or about 32%, from the July 30 outlook, reflecting the $85 million cash payment net of the related tax benefit.
The settlement limits the damage to reported operating performance but does not make the cash impact disappear. Management says the payment will be treated as an adjustment to adjusted operating income, so adjusted operating income and revenue guidance remain unchanged; economically, however, the company has less 2026 cash and has committed to another $35 million payment by January 31, 2027. 〔1〕
Net read: a clear guidance cut driven by a newly crystallized legal liability. The legal uncertainty is removed and the $35 million advance will offset future participation obligations, but versus the standing $220 million free-cash-flow expectation, the filing is materially worse on liquidity even though the income-statement outlook is preserved.
