USA Rare Earth clears Serra Verde funding hurdle, but $500M debt remains unfunded

The merger clears a meaningful financing condition, but the event was partly anticipated. The Serra Verde acquisition and 15-year offtake were announced on April 20, so the strategic direction was already known; today’s news is that the purchasing SPV has completed its capitalization, satisfying one closing condition. 〔0〕

The incremental surprise is larger government backing and a now-active offtake structure. Serra Verde says U.S. government funding for the SPV increased to $750 million, while the $300 million forward purchase contracts were confirmed and the 15-year agreement now requires the SPV to begin accepting deliveries.

This improves funding visibility, but does not eliminate execution risk. The $500 million debt facility is described as a commitment letter rather than funded debt, and both releases warn that it may not ultimately be documented, closed, or funded. That leaves a material financing dependency even though the SPV capitalization condition has been declared satisfied.

The near-term picture shifts from deal uncertainty to closing and operational ramp-up. USAR expects the merger to close promptly after its August 28, 2026 shareholder meeting, while Serra Verde expects initial deliveries in early fourth quarter 2026 and approximately 4,000 tonnes per year of TREO run-rate production by year-end. 〔1〕

Net read: modestly better than the standing pre-filing setup, not a completed transaction. The government-backed purchasing vehicle is now capitalized and the offtake is in force, which materially reduces one closing obstacle; however, shareholder approval, remaining conditions, debt funding, and production ramp-up still stand between this announcement and realized revenue.
